POWER RETREAT
Participant Release, Waiver & Indemnity Agreement
This Participant Release, Waiver and Indemnity Agreement ("Agreement") is entered into by and between the participant identified by electronic signature below ("Participant") and A Better Place Consulting, LLC, a Virginia limited liability company ("Company"). This Agreement applies to all Power Retreat experiences facilitated by A Better Place Consulting, LLC, regardless of location, country, venue, or facility partner. By signing this Agreement electronically, Participant agrees to be legally bound by all terms set forth herein. Electronic signature constitutes a valid and binding signature to the same extent as a handwritten signature under applicable law.
1. CONSENT FOR EMERGENCY MEDICAL TREATMENT
Participant consents to emergency medical treatment in the event of illness or injury occurring on the premises of or in connection with any A Better Place Consulting Power Retreat. Participant authorizes retreat staff and emergency personnel to seek and authorize emergency medical care on Participant's behalf if Participant is unable to do so. Participant is responsible for communicating any medical conditions, allergies, or treatment preferences to retreat staff prior to the start of the retreat. Participant acknowledges that emergency medical services and protocols will vary by location and that A Better Place Consulting, LLC and its facility partners cannot guarantee any specific standard of emergency care.
2. MEDIA, PHOTOGRAPHY & VIDEOGRAPHY RELEASE
Participant consents to and authorizes the use and reproduction by A Better Place Consulting, LLC of any and all photographic images, video recordings, audio recordings, and other audio/visual materials taken of Participant during any Power Retreat. Participant understands these materials may be used for promotional material, educational activities, social media, marketing, program delivery, and any other purpose for the benefit of A Better Place Consulting, LLC and its affiliated brands, including DEFY. Participant grants A Better Place Consulting, LLC an irrevocable, worldwide, perpetual, royalty-free license to use these materials for any business purpose now or in the future, without compensation to Participant.
If Participant does not wish to be photographed or recorded during any portion of the retreat, it is Participant's responsibility to remove themselves from any area where recording is taking place and to notify retreat staff in advance.
3. FACILITY PARTNER & ACTIVITY LIABILITY RELEASE
Power Retreats may be hosted at third-party facilities anywhere in the world, including but not limited to equestrian centers, wellness retreats, resort properties, private estates, and other experiential venues (each, a "Facility Partner"). Activities may include equine-assisted experiences, outdoor programming, physical activities, workshops, group exercises, and other facilitated experiences depending on the retreat location and design.
Participant fully understands and accepts that certain activities offered during Power Retreats carry inherent risks, including but not limited to physical injury, property damage, or other harm. Where retreat activities involve equine experiences in the United States, Participant expressly acknowledges the provisions of applicable state equine activity liability statutes, including the Virginia Equine Activity Liability Act, Section 3.1-796.130, et seq. of the Code of Virginia, and agrees that neither A Better Place Consulting, LLC nor any Facility Partner shall be liable for injury or loss resulting exclusively from the inherent risks of such activities.
Participant completely and irrevocably releases A Better Place Consulting, LLC, any Facility Partner, and their respective officers, directors, employees, volunteers, contractors, and agents from any and all liability for any injury, harm, or loss arising from Participant's participation in any activity during a Power Retreat, regardless of the location or nature of the activity.
4. GENERAL LIABILITY RELEASE & INDEMNIFICATION
In consideration of being permitted to participate in any A Better Place Consulting Power Retreat, Participant, on behalf of themselves and their heirs, assigns, and legal representatives, hereby releases, waives, discharges, and covenants not to sue A Better Place Consulting, LLC, its affiliated brands, officers, directors, employees, contractors, volunteers, Facility Partners, and agents (collectively, "Released Parties") from any and all claims, demands, damages, liabilities, or causes of action of any kind arising out of Participant's participation in any Power Retreat, in any location, at any time.
Participant agrees to defend, indemnify, and hold harmless the Released Parties from and against any claims, damages, losses, liabilities, or expenses, including attorneys' fees, arising out of or relating to Participant's actions, decisions, or conduct during any retreat, or any breach of this Agreement.
5. COACHING ONLY — NOT THERAPY
Participant acknowledges that the Power Retreat is a coaching and educational program, not therapy, mental health treatment, medical care, legal advising, tax advising, or financial advising. Participation does not create a therapist-client relationship, even though Bunny Young holds professional licensure. A Better Place Consulting, LLC does not diagnose, treat, or provide clinical guidance or therapeutic intervention of any kind. Participant is responsible for seeking appropriate professional support from qualified providers in their own jurisdiction. Nothing in any Power Retreat is a substitute for clinical, medical, legal, or financial services.
6. ASSUMPTION OF RISK
Participant represents that they are in adequate physical and mental health to participate in all retreat activities. Participant assumes all risks associated with participation, including physical activity, experiential programming, group exercises, personal development work, and all other retreat elements, regardless of the venue or country in which the retreat takes place. Participant understands that results from retreat participation are not guaranteed. Individual outcomes vary based on personal effort and individual circumstances. A Better Place Consulting, LLC makes no warranties regarding earnings, business results, health outcomes, or personal outcomes from participation.
7. CONFIDENTIALITY
Participant agrees to maintain the confidentiality of any personal disclosures, strategies, financial information, or proprietary content shared by other participants, facilitators, or A Better Place Consulting, LLC during any retreat. Participant agrees not to record sessions without permission, share other participants' information with third parties, or disclose proprietary retreat content without explicit written permission from A Better Place Consulting, LLC. Confidentiality obligations survive the conclusion of the retreat indefinitely.
8. GOVERNING LAW & INTERNATIONAL ENFORCEABILITY
This Agreement is governed by the laws of the Commonwealth of Virginia, United States of America, regardless of the country or jurisdiction in which any retreat takes place or in which Participant resides. Participant consents to personal jurisdiction in Virginia for any dispute arising out of this Agreement. Any dispute must be brought individually, not as part of any class or group claim, in Virginia state or federal courts. Participant waives the right to a jury trial. Participant agrees that any judgment obtained in Virginia may be domesticated and enforced in Participant's local jurisdiction where permitted by applicable law.
9. ACKNOWLEDGMENT & ELECTRONIC SIGNATURE
By signing this Agreement electronically, Participant confirms that:
(1) Participant has read this Agreement in its entirety and understands its contents;
(2) Participant is signing voluntarily and of their own free will;
(3) Participant is 18 years of age or older and legally capable of entering into a binding contract in their jurisdiction;
(4) Participant has had the opportunity to ask questions and seek independent legal advice before signing;
(5) Participant's electronic signature constitutes a legally binding signature and full acceptance of all terms in this Agreement, regardless of the country or jurisdiction in which Participant is located.
